1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Pylvos LLC, a Pennsylvania limited liability company ("Pylvos," "we," "us," or "our"), governing your access to and use of the Pylvos shop management software and related services (collectively, the "Software" or "Service").
By downloading, installing, activating, or using the Software, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not install or use the Software.
2. Description of Service
Pylvos is on-premises shop management software designed for small machine shops and manufacturing businesses. The Software runs locally on hardware owned and operated by the Customer. Core features include job tracking, parts library management, user access controls, production workflow tools, document generation, and reporting.
Pylvos uses a cloud-based license verification server to validate licenses and the plan each license is on. This verification requires periodic internet connectivity from the machine running the Software. If the Software cannot reach the license server, a paid plan keeps working for 7 days, then shows a 7-day warning, and then operates as the Free plan until verification succeeds again. No data is deleted.
3. License
Subject to your compliance with these Terms and payment of applicable fees, Pylvos grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on hardware located at a single business location for your internal business operations.
Restrictions
You may not:
- Copy, modify, distribute, sell, or sublicense the Software or any part of it
- Reverse engineer, decompile, or disassemble the Software
- Use the Software to provide services to third parties as a service bureau or managed service provider without a separate written agreement with Pylvos
- Remove or alter any proprietary notices, labels, or marks on the Software
- Share your license key with any third party or use it on more than one business location without written authorization
4. Plans, Subscription and Payment
Pylvos is offered as a Free plan and as paid plans. The Free plan requires no payment and includes the features and number of users described on the Pylvos website at the time (currently up to 3 active users). Pylvos may change what the Free plan includes, or discontinue it, with at least 30 days' notice.
Paid plans (currently Standard) require an active subscription, billed either monthly or annually as selected at signup. Your subscription begins on the date your payment is processed and renews automatically at the end of each billing period (monthly or annually, matching your selected plan) unless cancelled.
By providing a payment method, you authorize Pylvos (through its payment processor, Stripe) to charge your payment method on a recurring basis, at the interval matching your selected plan, for the applicable subscription fee. Pricing is as stated at the time of purchase and on the Pylvos website.
Annual plan: your card will be charged once per year on your renewal date at the then-current annual rate. You will receive an automatic email reminder in advance of each annual renewal charge.
Price Changes
Pylvos reserves the right to change subscription pricing with at least 30 days' advance notice. Continued use of the Software after a price change takes effect constitutes your acceptance of the new pricing.
Failed Payments
If a payment fails, we will attempt to collect payment using the method on file. If payment cannot be collected after reasonable attempts, your license may be suspended until payment is received. Seven days after a suspension, the Software operates as the Free plan until payment is received. You are responsible for keeping your payment information current.
5. Free Trial
Pylvos may offer a free trial period at its discretion. During the trial period, you may use the Software at no charge. At the end of the trial period, your subscription will automatically begin and your payment method will be charged unless you cancel before the trial ends.
To avoid being charged, you must cancel your subscription before your free trial period expires. Cancel anytime, self-service, through our billing portal — no need to contact us.
6. Refund Policy
ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. Once a subscription payment has been processed, no refunds will be issued under any circumstances, including cancellation, dissatisfaction, or failure to use the Software.
If you cancel your subscription, you will retain access to your paid plan's features through the end of your current paid billing period and for 7 days after it. The Software then operates as the Free plan. No partial-month refunds will be issued.
In the event of a duplicate charge or billing error caused solely by Pylvos, we will issue a credit or refund at our discretion. Billing disputes must be reported within 30 days of the charge.
7. Your Data
The Software stores all operational data — including job records, parts information, user accounts, uploaded documents, and all other business data — locally on the Customer's hardware. Pylvos does not have access to, does not store, and does not transmit your business data to Pylvos servers.
The only data transmitted to Pylvos servers is limited to license verification information: your license key, the IP address of the machine checking in, software version number, and shop name. No job records, parts data, employee information, financial information, or any other operational data is transmitted to or accessible by Pylvos.
You own all data you create using the Software. Pylvos claims no ownership rights over your business data.
8. Backups and Data Loss
YOU ARE SOLELY RESPONSIBLE FOR BACKING UP YOUR DATA. Pylvos provides built-in backup tools as a convenience, but does not automatically back up your data to any external location.
Because all data is stored locally on your hardware, data loss can occur due to hardware failure, accidental deletion, corruption, theft, fire, or other events beyond Pylvos's control. Pylvos strongly recommends:
- Using the built-in Download Backup feature regularly (at minimum weekly)
- Storing backup files in a separate location from the server PC (external drive, cloud storage, or offsite)
- Testing your backups periodically to confirm they can be restored
Pylvos LLC shall not be liable for any loss of data, regardless of cause. This limitation applies even if Pylvos has been advised of the possibility of data loss.
Backup Restoration
The Software includes tools to restore from a backup. Restoration replaces all current data with the backup contents. Pylvos is not responsible for any data that cannot be recovered from a backup or that is lost between backup intervals.
9. Software Updates
Pylvos may release updates to the Software from time to time. Updates may include new features, bug fixes, security patches, or other changes. The Software may notify you when an update is available.
Pylvos reserves the right to modify, discontinue, or deprecate features of the Software at any time. We will make reasonable efforts to provide advance notice of material changes that affect core functionality.
If you use the automatic update feature, you authorize the Software to download and install updates on your behalf. You should ensure a current backup exists before installing any update.
10. Acceptable Use
You agree to use the Software only for lawful business purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account and license.
You agree not to use the Software to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of any third party
- Transmit any malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to Pylvos systems or servers
- Interfere with the proper operation of the license verification system
11. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PYLVOS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY DATA OR RESULTS
- WARRANTIES THAT DEFECTS WILL BE CORRECTED
You use the Software at your own risk. Pylvos does not warrant that the Software will meet your specific business requirements or that it will be compatible with all hardware configurations.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PYLVOS LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL
- COST OF SUBSTITUTE PRODUCTS OR SERVICES
- DAMAGES ARISING FROM DATA LOSS, CORRUPTION, OR INABILITY TO ACCESS DATA
IN ANY CASE, PYLVOS LLC'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO PYLVOS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
13. Termination
Termination by You
You may cancel your subscription at any time, self-service, through our billing portal — enter the email address you signed up with to reach your secure Stripe billing portal, where you can cancel instantly with no need to contact us. You may also request cancellation by emailing sales@pylvos.com. Cancellation takes effect at the end of your current billing period. No refunds are issued for the remaining portion of a paid period.
Termination by Pylvos
Pylvos may suspend or terminate your license immediately if you:
- Breach any material provision of these Terms
- Fail to pay subscription fees when due
- Use the Software in a manner that may expose Pylvos to legal liability
- Engage in fraudulent or illegal activity in connection with the Software
Effect of Termination
When you cancel a paid plan, your installation continues on the Free plan as described in Section 6. If Pylvos terminates your license under this section, your license to use the Software is revoked. Either way, your data remains on your local hardware and is not deleted by Pylvos. You are responsible for exporting or backing up any data you wish to retain before or after termination.
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Software shall be resolved exclusively in the state or federal courts located in Butler County, Pennsylvania, and you consent to the personal jurisdiction of such courts.
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting the other party in writing and attempting to negotiate in good faith for at least 30 days.
15. Changes to These Terms
Pylvos reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email or through a notice in the Software at least 14 days before the changes take effect. Your continued use of the Software after the effective date of the revised Terms constitutes your acceptance of the changes.
If you do not agree to the revised Terms, you must cancel your subscription before the changes take effect.
